Sliprail Terms of Service

1. Scope and Acceptance

These Terms of Service ("Terms") are a legally binding agreement between you and Fengcen ("we," "us," or "our") regarding your access to and use of Sliprail and related services, including the Sliprail website, desktop application, integrated Nora AI features, cloud features, shared links, extensions, pricing and billing pages, and customer support (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

Some parts of the Service may require a Fengcen account, a paid plan, credits, third-party services, or additional agreements. If you use such features, the terms, policies, and purchase conditions that apply to those features also form part of your relationship with us.

2. Eligibility and Accounts

You must be at least 13 years old to use the Service.

If you create or use an account in connection with the Service, you agree to:

• Provide accurate, current, and complete information
• Keep your credentials secure and confidential
• Promptly update information that changes
• Promptly notify us if you suspect unauthorized use or a security incident involving your account
• Accept responsibility for activity that occurs through your account to the extent caused by your actions or failure to protect your credentials

3. Plans, Trials, Payments, and Credits

The Service may include free features, local-only features, paid plans, subscriptions, credits, and promotional trials.

In particular:

• Certain AI, cloud, sync, sharing, or other online features may require an active paid plan, subscription, credits, or additional fees
• Prices, included features, device limits, credit rules, renewal terms, and trial conditions are as displayed on the official website, checkout flow, or account pages at the time of purchase or activation
• We may change pricing, plan contents, included features, or trial conditions with reasonable notice where required
• Payments may be processed by third-party providers such as Stripe, and your use of those payment services is also subject to their terms and policies
• Unless required by applicable law or expressly stated at the time of purchase, payments are non-refundable and used credits are not reversible

4. Acceptable Use

You agree not to:

• Use the Service for illegal, fraudulent, infringing, abusive, defamatory, harassing, or otherwise improper purposes
• Upload, submit, or distribute malware, harmful code, spam, or other disruptive content
• Attempt to gain unauthorized access to the Service, other accounts, or related systems and networks
• Interfere with the integrity, performance, or security of the Service
• Circumvent access restrictions, device limits, billing controls, trial controls, or technical protection measures
• Violate the rights of Fengcen, other users, or third parties, including intellectual property, privacy, publicity, and contractual rights
• Use AI features or connected tools in violation of applicable laws, these Terms, or the policies of the relevant third-party providers
• Resell, sublicense, or provide unauthorized commercial access to the Service unless we expressly authorize it

5. User Content, AI Features, and Shared Content

You are responsible for the content, files, prompts, screenshots, images, messages, links, and other materials that you upload, submit, generate, sync, or share through the Service (collectively, "User Content"). You represent that you have the rights necessary to provide and use that User Content.

To operate the Service, you grant Fengcen and the service providers we use a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, transmit, display, and otherwise process your User Content only as reasonably necessary to:

• Provide the Service features you request
• Operate, secure, maintain, back up, and improve the Service
• Investigate abuse, enforce these Terms, and comply with legal obligations
• Share content or links when you instruct the Service to do so

If you create a shared link, publish content, connect third-party tools, or use collaborative or connected features, the content you choose to share may become accessible to others or to the relevant third-party provider.

Fengcen does not use the specific inputs you submit to AI features, or the specific outputs generated from those inputs, to train Fengcen's own AI models. However, you understand that third-party providers involved in AI, search, payments, hosting, or connected tools may process data according to their own terms and privacy policies.

AI-generated outputs may be inaccurate, incomplete, delayed, biased, or inappropriate. You are responsible for reviewing and deciding how to use any AI output. AI output is not professional advice and should not be relied upon as legal, financial, medical, or other professional advice.

6. Intellectual Property and License

The Service, excluding your User Content, is owned by Fengcen or its licensors and is protected by applicable intellectual property and other laws.

Subject to your compliance with these Terms, Fengcen grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal use or legitimate internal business use.

Except as permitted by applicable law or expressly authorized by us, you may not:

• Copy, distribute, sell, lease, sublicense, or commercially exploit the Service
• Modify, adapt, decompile, reverse engineer, or create derivative works from the Service
• Remove or alter copyright, trademark, or other proprietary notices
• Use the Service to build a competing product or service

If you provide feedback or suggestions about the Service, we may use them without restriction or obligation to you.

7. Privacy

Our collection, use, storage, and sharing of information are governed by the Sliprail Privacy Policy.

8. Third-Party Services and Extensions

The Service may rely on or interoperate with third-party services, including AI model providers, payment providers, hosting providers, search providers, MCP-connected tools, and extensions developed by third parties.

We do not control third-party services or third-party extensions, and we are not responsible for their availability, content, terms, privacy practices, or data processing. Your use of those third-party offerings is at your own risk and may be subject to separate terms.

9. Availability, Disclaimers, and Limitation of Liability

The Service is provided on an "AS IS" and "AS AVAILABLE" basis to the maximum extent permitted by law. We do not guarantee that the Service will always be available, uninterrupted, secure, accurate, complete, or error-free.

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages
• We are not liable for losses arising from third-party services, third-party providers, user misuse, unauthorized access caused by your failure to protect credentials, or your reliance on AI output
• Our aggregate liability arising out of or relating to the Service or these Terms will not exceed the amount you paid us for the specific Service giving rise to the claim during the 12 months before the claim arose

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

10. Suspension and Termination

You may stop using the Service at any time. If you have a paid plan or subscription, you may cancel it using the applicable account, subscription, or payment management flow.

We may suspend, restrict, or terminate your access to all or part of the Service if we reasonably believe that:

• You violated these Terms or applicable law
• Your use creates security, legal, operational, or abuse risks
• We are required to do so by law, a court order, or a third-party provider relationship
• The relevant Service or feature is changed, discontinued, or no longer offered

Upon termination, your right to use the affected Service ends immediately. Provisions that by their nature should survive termination will survive, including provisions relating to payments already due, intellectual property, disclaimers, limitation of liability, dispute resolution, and other continuing obligations.

11. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may provide notice through the Service, by email, or by other appropriate means. Your continued use of the Service after the updated Terms become effective means that you accept the updated Terms.

12. Governing Law and Disputes

These Terms are governed by the laws of the United States, without regard to conflict of law rules.

If a dispute arises, you and Fengcen agree to first try to resolve it through good-faith communication. If the dispute cannot be resolved informally, it will be resolved in the forum required by applicable law or by another agreement that governs the relevant account, payment relationship, or service feature. To the extent no other forum is required, the dispute will be submitted to a court of competent jurisdiction in the United States.
