These Terms of Service ("Terms") are a legally binding agreement between you and Fengcen LLC, a Wyoming limited liability company ("Fengcen," "we," "us," or "our"). They govern your access to and use of Sliprail, including the Sliprail website, desktop application, integrated Nora features, cloud and sync features, shared links, extensions, connected tools, pricing and billing pages, and customer support (collectively, the "Service").
By creating an account, accessing or using the Service, or clicking a button that indicates acceptance, you agree to these Terms. The Sliprail Privacy Policy explains how we process personal information and is incorporated into these Terms where permitted by law. If you do not agree, do not use the Service.
The Fengcen Terms of Service, purchase terms, plan descriptions, extension terms, and third-party terms may also apply to particular features. If product-specific terms conflict with general Fengcen terms, these Sliprail Terms control for the Service. Terms shown at checkout control for the applicable transaction, subject to mandatory law.
You must be at least 13 years old to use the Service. If you have not reached the age of legal majority where you live, you may use the Service only with permission from a parent or legal guardian who agrees to these Terms on your behalf. The Service is not directed to children under 13.
If you use the Service for an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
If you create or use a Fengcen account, you agree to:
You may not transfer, sell, or share an account in a way that compromises security or bypasses plan, device, trial, or usage limits.
Sliprail may include free or local-only features, paid plans, automatically renewing subscriptions, one-time purchases, credits, and promotional trials. Prices, included features, device limits, usage limits, credit rules, taxes, fees, billing intervals, and other purchase terms are shown before you complete a transaction.
You authorize us and our payment processors to charge the payment method you provide for the amounts disclosed at checkout. Payments may be processed by providers such as Stripe. We generally do not receive your complete payment-card number, and your use of a payment provider may also be subject to that provider's terms and privacy policy.
Unless the purchase screen expressly states otherwise, a paid Sliprail subscription automatically renews for successive periods equal to the displayed billing interval until you cancel it. At each renewal, you authorize the then-current subscription price and applicable taxes to be charged to your payment method.
You may cancel through the Fengcen account subscription or payment-management flow. To avoid the next renewal charge, cancel before the renewal is processed. Unless applicable law or the Refund Policy requires otherwise, cancellation takes effect at the end of the current paid period, access continues until then, and unused time is not refunded or credited.
If we change a recurring price, we will provide advance notice where required by law. The new price applies no earlier than the next renewal identified in the notice. If you do not agree, you must cancel before that renewal.
Trial length, eligibility, included features, payment requirements, and conversion terms are disclosed when a trial is offered. If a trial is described as converting to a paid subscription, it will automatically convert at the disclosed price unless you cancel before the trial ends.
Free trials, no-card trials, trial periods provided through payment processors, gifted subscriptions, and administrator-granted subscriptions do not include plan credits unless expressly stated when activated. We may limit or revoke trial eligibility where reasonably necessary to prevent abuse, subject to applicable law.
Certain Nora, AI, cloud, search, sharing, or connected-tool features may require credits in addition to, or instead of, a paid plan.
Purchased credits and plan credits are separate balances:
We may introduce or change purchased-credit validity rules prospectively after reasonable advance notice, including a rule for credits unused for more than one year. Any change will be subject to applicable law and will provide a reasonable opportunity to use affected credits.
Refunds are governed by the Fengcen Refund Policy and mandatory law. Used credits are not reversible except where required by law or where we confirm a billing or service error. Plan credits have no cash value and are not refundable or withdrawable.
Purchases made through an app store, reseller, marketplace, or other third-party seller are also governed by that seller's billing, cancellation, and refund rules. Where the third party is the seller of record, you must request billing changes or refunds from that third party.

We may investigate suspected violations and take proportionate action, including limiting or suspending access.
You retain your rights in files, prompts, screenshots, images, messages, links, settings, clipboard history, and other materials that you upload, submit, generate, sync, or share through the Service ("User Content"). You represent that you have the rights and permissions needed to provide and use User Content and that doing so does not violate law or another person's rights.
You grant Fengcen and the service providers acting for us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, transmit, display, and otherwise process User Content only as reasonably necessary to:
We use feedback and aggregated, de-identified, or statistical information to improve the Service. We do not use the specific inputs you submit to AI features, or the specific outputs generated from those inputs, to train Fengcen's own AI models unless we separately ask for and obtain permission.
If you create a public or shared link, publish content, enable cloud sync, collaborate, install an extension, or connect a third-party tool, the content and permissions you select may make information accessible to recipients, the public, the extension, or the relevant provider. Review permissions and sharing settings before proceeding, and do not submit confidential or sensitive information you do not intend to disclose.
AI outputs may be inaccurate, incomplete, delayed, biased, offensive, or similar to outputs provided to others. You must review outputs before relying on or using them. AI outputs are not legal, financial, medical, or other professional advice. Rights in AI outputs may depend on applicable law and third-party provider terms.
Except for User Content, the Service and its software, design, documentation, trademarks, and other materials are owned by Fengcen or our licensors and are protected by applicable laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install, access, and use Sliprail for personal use or legitimate internal business purposes on devices permitted by your plan.
Except where applicable law or an applicable open-source license permits it, you may not:
Extensions, plugins, themes, MCP servers, and other add-ons may be provided by Fengcen or third parties. Third-party add-ons may access data or capabilities based on the permissions you grant. You are responsible for reviewing their source, publisher, permissions, and terms before installation.
Some components may be distributed under open-source or other third-party licenses. Those licenses govern the applicable components and control over conflicting provisions of these Terms. Nothing in these Terms restricts rights granted under such licenses or rights that cannot lawfully be restricted.
If you provide feedback or suggestions, you grant us the right to use them without restriction or compensation, but you are not required to provide feedback.
Some Sliprail features operate only on your device. Other features require transmission to Fengcen or third-party providers, including account, subscription, cloud sync, shared-link, Nora, AI, search, support, and connected-tool features.
You are responsible for choosing whether to enable optional cloud and connected features, reviewing their settings, and maintaining backups appropriate for your needs. The Sliprail Privacy Policy provides additional details about local processing, optional clipboard history, cloud sync, and third-party processing.
The Service may rely on or interoperate with third-party services, including AI model providers, payment processors, hosting providers, identity providers, search providers, MCP-connected tools, and third-party extensions.
We do not control third-party offerings and are not responsible for their availability, content, security, terms, or data practices. Your use of a third-party offering is governed by its own terms and is at your own risk. This section does not limit responsibility that cannot be excluded under applicable law.
Our collection, use, storage, disclosure, and protection of personal information are described in the Sliprail Privacy Policy and, where applicable, the Fengcen Privacy Policy.
We may add, change, limit, or discontinue features for legitimate business, technical, security, or legal reasons. Where a change materially reduces a paid Service, we will provide notice or a remedy where required by law or the Refund Policy.
Beta, preview, experimental, or free features may be changed or withdrawn at any time and may be less reliable than generally available features.
You may stop using the Service at any time. You remain responsible for charges incurred before cancellation or termination.
We may suspend, restrict, or terminate access if we reasonably believe that:
Where practical and lawful, we will provide notice and an opportunity to address the issue. We may act immediately where necessary to protect users, the Service, or third parties.
Upon termination, your license ends. Provisions that by their nature should survive will survive, including payment obligations, ownership, disclaimers, liability limits, dispute provisions, and other continuing obligations.
To the maximum extent permitted by law, the Service is provided "AS IS" and "AS AVAILABLE." We do not warrant that it will be uninterrupted, secure, error-free, accurate, complete, compatible with every device or third-party tool, or suitable for every purpose. You are responsible for maintaining appropriate backups and for evaluating AI outputs and third-party content.
Nothing in these Terms excludes warranties, guarantees, or consumer rights that cannot lawfully be excluded.
To the maximum extent permitted by law, Fengcen and its affiliates, officers, employees, contractors, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities, arising from or related to the Service.
To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of:
These limits do not apply to liability that cannot be limited, including liability arising from fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or other liability that applicable law prohibits us from limiting.
We may update these Terms to reflect changes in the Service, law, security requirements, or business practices. The updated Terms will state a new effective date. We will provide reasonable advance notice of material changes where required, using email, an in-Service notice, or another appropriate method.
Changes do not apply retroactively to a dispute that arose before the updated Terms became effective. If you do not agree to an update, you must stop using the affected Service and cancel recurring subscriptions before the next renewal. Continued use after the effective date constitutes acceptance where permitted by law.
These Terms are governed by the laws of the State of Wyoming and applicable United States federal law, without regard to conflict-of-law principles.
Before filing a claim, you and Fengcen agree to attempt in good faith to resolve the dispute by contacting the other party and describing the issue and requested resolution. If the dispute is not resolved, and unless mandatory law requires another forum, claims must be brought in the state courts located in Laramie County, Wyoming, or the United States District Court for the District of Wyoming, and each party consents to those courts' jurisdiction.
If you are a consumer, this section does not deprive you of mandatory protections or the right to bring a claim in another forum provided by the law of your place of residence.
These Terms, applicable Fengcen terms, the Privacy Policy, product descriptions, and purchase terms form the entire agreement between you and Fengcen regarding the Service. If any provision is unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will remain effective.
A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, reorganization, or transfer of the relevant business, subject to applicable law. There are no third-party beneficiaries except as expressly stated.
